国际贸易合同在国内又被称外贸合同或进出口贸易合同，即营业地处于不同国家或地区的当事人就商品买卖所发生的权利和义务关系而达成的书面协议。国际贸易合同受国家法律保护和管辖，是对签约各方都具有同等约束力的法律性文件，是解决贸易纠纷，进行调节、仲裁、与诉讼的法律依据。国际贸易合同属于社会交往中比较正式的契约文体，具有准确性、直接性和法定效力性等特点。
